Welcome to SpareHub. By accessing, registering, or using the SpareHub platform, website, or mobile application, you agree to comply with and be bound by these Terms & Conditions.

SpareHub operates as a digital marketplace that connects spare parts vendors, mechanics, garages, and vehicle owners. SpareHub does not manufacture, own, inspect, store, or directly sell spare parts unless explicitly stated.

  • "Vendor" refers to any business or individual listing spare parts for sale on SpareHub.
  • "Buyer" refers to mechanics, garages, vehicle owners, or any user searching for or purchasing spare parts.
  • "User" refers to any person using SpareHub.

2. Platform Role

  • Does not own inventory listed by vendors.
  • Does not guarantee availability of listed parts.
  • Does not directly process or hold payments unless otherwise stated.
  • Is not responsible for agreements made between buyers and vendors.

All negotiations, transactions, deliveries, warranties, and agreements are solely between the buyer and vendor.

3. Vendor Terms

By registering as a Vendor, you agree to the following terms:

3.1 Accurate Information

You must provide accurate business information including your shop/business name, phone number, location, and valid identification where required.

3.2 Genuine Listings

You shall not upload fake listings, intentionally misrepresent products, list unavailable parts as available, upload misleading photos, or sell counterfeit or illegal products.

3.3 Responsibility for Products

Vendors are fully responsible for product quality, authenticity, the condition of parts, warranties offered, delivery arrangements, and customer communication.

3.4 Subscription Fees

Vendor subscriptions are non-refundable unless otherwise stated by SpareHub. Failure to renew subscriptions may result in reduced visibility, suspension of listings, or account deactivation.

3.5 Prohibited Conduct

Vendors shall not engage in fraud, abuse users, manipulate ratings, use the platform for illegal activity, or post offensive or unlawful content. SpareHub reserves the right to suspend or permanently remove vendors violating platform rules.

Supplementary Vendor Agreement

Vendor Tax Indemnity & Subscription Framework

Version: v2-2026-06 · Effective: June 24, 2026

S1. Subscription Structure and Tiered Pricing

S1.1 Tiered Service Plans: SpareHub operates as a digital marketplace platform offering three distinct subscription tiers for registered automotive parts vendors. The operational features, listing limits, and specific billing intervals for each tier are detailed on the SpareHub Vendor Dashboard.

S1.2 Modification of Fees: The benchmark subscription fee for the standard premium tier is established at UGX 130,000 per month. SpareHub reserves the right, at its sole discretion, to modify, adjust, or restructure the pricing of any subscription tier. Any structural pricing adjustments will be communicated to active vendors at least thirty (30) days prior to the commencement of the next billing cycle.

S2. Cross-Border Visibility Feature (The Regional Add-on)

S2.1 Feature Mechanics: SpareHub provides an optional cross-border visibility feature enabling vendors to expand their digital marketplace presence into extra-territorial markets within the East African region (e.g., Kenya, Rwanda, Tanzania, Nigeria). To activate this regional visibility, the vendor must check the "Cross-Border Shipping" toggle within their dashboard settings.

S2.2 Premium Add-on Pricing: Activation of the cross-border visibility toggle acts as a distinct premium service add-on and will attract a separate, independent fee charged over and above the baseline subscription tier (including the UGX 130,000 plan). This add-on fee is billed concurrently with the vendor's primary billing cycle.

S2.3 Scope of Service: The vendor explicitly acknowledges that SpareHub's cross-border visibility service is strictly limited to digital data dissemination and algorithmic distribution — making the vendor's parts listings searchable and visible to buyers in external target nations only.

S3. Vendor Logistics & Cross-Border Delivery Obligations

S3.1 Independent Logistics Execution: SpareHub does not provide, manage, or facilitate physical shipping, freight forwarding, customs clearance, or delivery services. The absolute operational responsibility for cross-border logistics, packaging, and regional product fulfillment rests entirely on the vendor.

S3.2 Compliance with Regional Transport Laws: The vendor must independently ensure full compliance with cross-border shipping regulations, export restrictions, and regional courier documentation requirements. SpareHub holds zero liability for goods delayed, confiscated, damaged, or lost in transit between borders.

S4. Absolute Tax Indemnity & Revenue Disconnection

S4.1 Tax Separation of Identity: Subscription fees paid to SpareHub are exclusively payments for digital marketplace access, software tools, and data processing capabilities. SpareHub does not participate in, collect a commission from, or process the core financial value of physical spare parts transactions.

S4.2 Vendor Tax Accountability: The vendor assumes sole, exclusive, and absolute liability for all tax compliance obligations arising from their sales activities on SpareHub. This includes:

  • Calculation, declaration, collection, and remittance of VAT on sold spare parts to the Uganda Revenue Authority (URA) or corresponding regional tax authorities.
  • Declaration of gross sales revenues for Corporate or Individual Income Tax assessments.
  • Settlement of any Import/Export Duties, Clearing Levies, or Environmental Taxes incurred during cross-border shipping.

S4.3 Indemnification Clause: The vendor agrees to fully defend, indemnify, and hold harmless SpareHub (and its parent company, directors, and employees) from and against any claims, tax audits, assessments, penalties, fines, or legal liabilities levied by the URA or any regional revenue body resulting from the vendor's failure to maintain proper fiscal tax records, register for VAT, or remit appropriate transactional taxes.

S5. Safe Harbor & Intermediary Liability (Electronic Transactions Act, 2011)

S5.1 Statutory Safe Harbor Protection: In accordance with Part V (Sections 29–33) of the Uganda Electronic Transactions Act, 2011, SpareHub operates strictly as an electronic network service provider and marketplace intermediary.

S5.2 Content Non-Endorsement: SpareHub acts as a passive digital conduit for user-generated data. We do not inspect, verify, or guarantee the legal title, authenticity, quality, safety, or tax compliance status of any automotive parts listed by third-party vendors. The vendor assumes full legal liability for all content uploaded via their vendor profile dashboard.

4. Buyer Terms

4.1 Independent Transactions

Purchases are made directly between buyers and vendors. SpareHub is not a party to the transaction.

4.2 Verification Responsibility

Buyers are encouraged to inspect products before payment where possible, confirm compatibility with vehicles, verify the authenticity of parts, and communicate clearly with vendors.

4.3 User Conduct

Buyers shall not harass vendors, provide false information, misuse the platform, or engage in fraudulent conduct.

5. Limitation of Liability

To the maximum extent permitted under the laws of Uganda, SpareHub shall not be liable for defective products, counterfeit parts, failed deliveries, losses arising from transactions, disputes between buyers and vendors, or damages caused by the use of purchased products. Users access and use the platform at their own risk.

6. Account Suspension

SpareHub reserves the right to suspend accounts, remove listings, restrict access, or terminate users without prior notice where platform abuse, fraud, or policy violations are suspected.

7. Intellectual Property

The SpareHub name, logo, platform design, software, and branding remain the exclusive property of SpareHub. Users may not copy, reproduce, or distribute platform content without written permission.

8. Privacy

Users consent to the collection and use of basic account information necessary for platform operations, communication, security, and service improvement. SpareHub shall take reasonable measures to protect user information but does not guarantee absolute security.

9. Governing Law

These Terms & Conditions shall be governed and interpreted in accordance with the laws of the Republic of Uganda. Any disputes arising from the use of the platform shall be subject to the jurisdiction of competent courts in Uganda.

Relevant legal frameworks applied include:

  • The Constitution of the Republic of Uganda
  • The Electronic Transactions Act, 2011
  • The Computer Misuse Act, 2011
  • The Data Protection and Privacy Act, 2019
  • Applicable consumer protection and commercial laws of Uganda

10. Modifications

SpareHub reserves the right to update or modify these Terms & Conditions at any time. Continued use of the platform after changes constitutes acceptance of the revised terms.
